Note: NAV returns are as of June 30, 2022 and distribution returns include the distribution announced today.

You should not draw any conclusions about the investment performance of the Fund from the amount of such distribution or the terms of the Fund’s plan.

If the Fund(s) believe they have distributed more than their income and capital gains, part of your distribution may be a return of capital. A return of capital may occur, for example, when some or all of the money you have invested in the Fund is returned to you. A return of capital distribution does not necessarily reflect the performance of the Fund’s investments and should not be confused with “yield” or “income”.

The amounts and sources of distributions set forth in this 19(a) Notice are estimates only and are not provided for tax reporting purposes. Actual amounts and sources of amounts for accounting and tax purposes will depend on the Fund’s investment experience over the remainder of its financial year and may be subject to change as a result of tax regulations. The Fund will send you a Form 1099 DIV for the calendar year which will tell you how to report these distributions for federal income tax purposes.

The performance figures provided below are based on the change in the net asset value per share (“NAV”) of the Fund, compared to the annualized distribution rate for this current distribution as a percentage of the NAV on the last day of the month preceding the distribution record. Date.

Although the return on net asset value may be indicative of the investment performance of the Fund, it does not measure the value of a shareholder’s investment in the Fund. The value of a shareholder’s investment in the Fund is determined by the market price of the Fund, which is based on the supply and demand for shares of the Fund in the open market. Past performance does not guarantee future results.

Monthly distributions offer shareholders the opportunity to accumulate more shares in a fund through the automatic dividend reinvestment plan. For example, if a fund’s shares are trading at a premium, distributions will automatically be reinvested in the plan at net asset value or 95% of the market price, whichever is greater; if the shares are trading at a discount, distributions will be reinvested at market price under an open market purchase program. Thus, the plan offers current shareholders an efficient method of accumulating additional shares with the potential for cost savings. Please see the Dividend Reinvestment Plan for more information.

Important Notes on Performance and Risk
Past performance is not indicative of future results. As with other investments, the market price will fluctuate with the market and when sold, your shares may have a market price above or below the net asset value and may be worth more or less than your original investment. Net asset value returns reflect the deduction of Fund management fees, leverage costs and other expenses. You can buy or sell common shares daily. Like any other stock, the market price will fluctuate with the market. When sold, your shares may have a market price above or below net asset value and may be worth more or less than your original investment. Shares of closed-end funds frequently trade at a price below their net asset value.
